Global law firm Greenberg Traurig, LLP, is expanding its investment management practice to the firm’s Atlanta Office with the strategic hire of Shareholder Terrence O. Davis.

Davis will focus his practice on advising and counseling a wide range of investment advisers, broker-dealers, and fund managers in connection with various matters arising under the federal securities laws, with a particular emphasis on the Investment Company Act of 1940 (the “1940 Act”) and the Investment Advisers Act of 1940. He represents a variety of open-end and closed-end investment companies registered under the 1940 Act, including exchange traded funds and closed end, interval funds.

“I’m eager to take advantage of the opportunities a firm like Greenberg Traurig presents,” Davis said. “In that same vein, I am looking forward to having the opportunity to practice with other investment management attorneys, some of whom I have known and respected throughout my career.”

Davis counsels investment advisers and registered investment companies on the structure of their compliance programs and develops related training and compliance materials for investment advisers and registered investment companies. He also represents clients in connection with routine examinations and enforcement actions by the U.S. Securities and Exchange Commission (SEC).

“Terry’s specialization in 1940 Act-registered funds is unique in the Southeast,” said Alan Annex, Co-Chair of the firm's Global Corporate Practice. “Greenberg Traurig has a well-established, nationally recognized investment management practice, and the timing was right to extend that reach into the Atlanta market. He had the specific experience we were looking for, as well as longstanding client relationships in the space. We are thrilled to have him as a key member of the Greenberg Traurig team.”

Ernest Greer, Atlanta-based Co-President of the firm, said, “We are continually expanding our capabilities to match Atlanta’s diverse and thriving business community, and it made sense to add an investment management component, particularly in Terry’s unique line of practice that includes SEC-registered funds and compliance obligations. While Terry’s hire allows us to attract significant clients in the industry, Greenberg Traurig offers him access to a global network and the ability to work with a collaborative team of experienced attorneys across the country.”

Davis’ previous experience includes serving as lead attorney in connection with the representation of multiple open-end investment companies, serving as lead attorney in connection with the organization and registration of multiple closed-end, interval funds, and serving as lead attorney in connection with several fund reorganizations. Earlier in his career, he worked in-house for ING U.S. Financial Services where, among other responsibilities, Davis served as the Rule 38a-1 Chief Compliance Officer with regard to registered accounts with more than $100 Billion in assets.

Davis was a 2014 recipient of Georgia Trend Magazine’s “Georgia’s Legal Elite in Corporate Law,” and he remains actively involved in the Atlanta Humane Society, holding a number of positions over the years including serving as Chair of the Board of Directors for 2016-2017.
